Terms of Service

These terms govern your use of the ChatHey website and web application (the "Service"), operated by ChatHey ("we", "us"). By creating an account or using the Service you agree to them on behalf of yourself and, if you act for a business, on behalf of that business ("you", the "Customer"). If you do not agree, do not use the Service.

1. What the Service is

The Service lets a business connect its WhatsApp Business, Instagram and Facebook Messenger accounts and manage the resulting conversations in one place: a shared inbox for a team, contact management, approved message templates, bulk campaigns, automated replies, and chatbots — including AI assistants that answer on the business's behalf from material the business provides.

The Service works on top of Meta's platforms and does not replace your relationship with Meta. You must hold, and keep in good standing, the accounts you connect.

2. Who may use it

You must be at least 18 years old and use the Service for business purposes. If you accept these terms for a company or organisation, you confirm that you are authorised to bind it.

We may refuse or close an account that we reasonably believe is used in breach of these terms, of Meta's policies, or of the law.

3. Your account and your team

  • You are responsible for everything done under your account and under the accounts of the team members you invite, and for the accuracy of the details you provide.
  • Keep your credentials confidential, and tell us promptly at the address below if you suspect unauthorised access.
  • The owner of an organisation controls its team members, their permissions, and which connected accounts each may access. Permissions you grant are your responsibility.
  • One sign-in can own one organisation and be a team member of others. In each organisation you work under its owner, who controls your access and permissions there, and what you do there is done on that organisation's behalf. Leaving an organisation, or being removed from it, ends your access to it; your sign-in is deleted only when it no longer belongs to any organisation.
  • The access tokens and secrets you enter to connect a platform account are stored encrypted. You warrant that you are entitled to connect each account you connect.

4. Meta's rules apply to you

Every message sent or received through the Service passes through Meta's platforms under your own accounts. You agree to comply, and to make your team comply, with the terms and policies Meta attaches to those accounts, as updated from time to time — including the WhatsApp Business Terms of Service and Business Messaging Policy, the Meta Platform Terms, the Instagram and Messenger platform policies, and the Meta Commerce Policy.

In particular you agree that:

  • you will message only people who have given you the consent (opt-in) those policies require, and will honour every request to stop;
  • outside a platform's permitted reply window you will send only message templates that platform has approved, and you will not use templates to evade that rule;
  • you will not send unsolicited, deceptive, abusive or illegal content, and you will respect the categories of business and content Meta prohibits;
  • you will comply with the laws that govern commercial messaging where your recipients are, including, in Israel, section 30A of the Communications (Telecommunications and Broadcasting) Law, 5742-1982.

Meta may limit, suspend or ban an account for breaches of its policies. We have no control over such decisions and no ability to reverse them. A number or account restricted by Meta will stop working in the Service.

5. Acceptable use

You will not use the Service to:

  • send spam, bulk unsolicited messages, or messages that mislead recipients about who is sending them;
  • collect or process personal data without a lawful basis, or contrary to your own privacy commitments to your contacts;
  • distribute malware, phishing, or content that is illegal, defamatory, infringing, hateful or sexually explicit;
  • interfere with, overload, reverse-engineer, scrape or gain unauthorised access to the Service or to other customers' data;
  • resell the Service, or offer it to third parties as your own, without our written agreement.

We may suspend an account, a connected number, a campaign or a bot without notice where we reasonably believe this section is being breached, and will tell you why as soon as we can.

6. Your content and your contacts' data

You own the messages, contacts, templates, knowledge material and configurations you put into the Service ("Customer Content"). You grant us a licence to host, process, transmit and display Customer Content solely to provide the Service to you and as described in our Privacy Policy.

For the personal data of your contacts, you are the controller and we act as your processor on your instructions, as described in the Privacy Policy. You are responsible for having a lawful basis to collect and message your contacts, for informing them as the law requires, and for responding to their requests about their data. We will assist you with such requests where we reasonably can.

You must not upload Customer Content you have no right to use, or that would put us in breach of a third party's rights or of the law.

7. AI features

AI assistants generate replies automatically from the persona, instructions and knowledge material you configure. They can misunderstand, make mistakes, or state things that are not true. You are responsible for reviewing how a bot behaves before making it live, for the knowledge you give it, and for every message it sends on your behalf. Do not rely on an AI reply for legal, medical, financial or safety-critical matters without human review.

When you use our managed AI engine, we choose the underlying model provider and may change it; we do not disclose which provider or model served a given request. When you connect your own provider key, that provider processes the relevant data under your agreement with it, and its charges are yours.

AI usage is metered. Usage counts and any associated charges are shown in the Service.

8. Plans, trials and fees

  • The Service is offered in plans with different limits (such as connected accounts, team seats, active bots and monthly active contacts). The plan and limits that apply to you are shown in the Service.
  • New accounts start on a free plan with a limited trial period. When the trial ends, outbound features (sending messages, campaigns and bot replies) pause until a plan is assigned; incoming messages continue to be received and stored.
  • One free trial per business. We may decline to start a trial for an account whose email address, phone number or connected WhatsApp, Facebook, Instagram or TikTok account matches a previous trial.
  • If a subscription ends and is not renewed, its content (conversations, contacts, campaigns, files and AI knowledge sources) is deleted after the retention periods in the Privacy Policy, with email notice 14 and 3 days beforehand. Your account and settings are kept.
  • Fees, where they apply, are as agreed with us in writing at the time. Today plans are assigned by us; if we introduce online payment, its terms will be shown to you before you are charged.
  • If your usage exceeds the limits of your plan — for example after a downgrade — we will not delete anything. You will be asked to choose which resources to park until you are within the limits again.
  • We may change plans and prices with at least 30 days' notice. Changes do not apply to a period you have already paid for.

9. Third-party services

The Service depends on Meta's platforms and on the hosting, database and AI providers named in our Privacy Policy. We do not control those services, and we are not responsible for their availability, their changes, or their decisions about your accounts. A change on Meta's side — a new policy, a deprecated API, a rate limit — may change or remove a feature of the Service, and we will adapt as quickly as we reasonably can.

10. Our intellectual property

The Service, its software, design, documentation and trade marks belong to ChatHey or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is in good standing, and nothing more. You will not copy, modify, or create derivative works of the Service, or remove any proprietary notice from it. Feedback you give us may be used without obligation to you.

11. Confidentiality

We will treat Customer Content and the details of your account as confidential, and will not disclose them except as described in the Privacy Policy, as you direct, or as the law requires. You will treat any non-public information about the Service as confidential.

12. Availability and support

We aim to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance, and will try to give notice for planned work. Support is provided by email at the address below during our working hours.

13. Ending the agreement

  • You may close your account at any time from the Service or by writing to us. Closing the account ends these terms.
  • We may suspend or close your account with notice if you breach these terms and do not cure the breach within 14 days of being told, and without notice where the breach is serious, endangers other customers or the Service, or breaches Meta's policies or the law.
  • We may discontinue the Service on at least 60 days' notice.
  • On closure, your access ends and we delete Customer Content in accordance with the retention periods in the Privacy Policy. Export what you need before you close the account. Sections 6, 10, 11, 14, 15 and 16 survive closure.

14. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MESSAGES WILL BE DELIVERED, THAT A PLATFORM WILL REMAIN AVAILABLE, OR THAT AI REPLIES WILL BE ACCURATE.

15. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR, IF YOU PAID NOTHING, ONE HUNDRED US DOLLARS.

Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

16. Indemnity

You will defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from Customer Content, from your use of the Service in breach of these terms, of Meta's policies or of the law, or from your messaging of people who had not consented to it.

17. Governing law and disputes

These terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Any dispute arising from them or from the Service will be brought exclusively before the competent courts of Tel Aviv-Jaffa, Israel. Before starting proceedings, each side agrees to try in good faith to resolve the matter by writing to the other.

18. General

  • These terms, together with the Privacy Policy, are the entire agreement between us about the Service and replace any earlier understanding.
  • If a provision is found unenforceable, the rest remains in force.
  • You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of the business.
  • Our failure to enforce a provision is not a waiver of it.
  • Notices to you go to the email address on your account; notices to us go to the address below.
  • We may update these terms. The date at the top shows the current version. For material changes we will give at least 14 days' notice by email or inside the Service, and continued use after that date is acceptance of the new terms.
